Terms of Service

This English translation is provided as a courtesy. The Spanish version, available at https://conectee.com/legal/terms, is the binding and controlling version.

Operated by Arkline Digital LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America, with its address at 30 N Gould St Ste R, Sheridan, WY 82801, USA ("Arkline", "Conectee", "we", "us").

These Terms of Service (the "Terms") govern access to and use of the Conectee mobile application, the website conectee.com, the client web portal, and any related services (collectively, the "Platform").


1. Acceptance of the Terms

1.1. By creating an account, checking the acceptance box during registration, accessing the client portal, or using the Platform in any way, you agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Platform.

1.2. Upon registration, the Platform records the date and version of the Terms you accepted. We may update these Terms as described in Section 20; the current version will always be published at https://conectee.com/legal/terms.

1.3. If you use the Platform on behalf of a company or organization, you represent that you have sufficient authority to bind that entity to these Terms.

2. Definitions

  • Provider (Prestador): professional or business that publishes services in its catalog on the Platform.
  • Conecte: person who recommends a Provider's services to potential clients and earns a commission on sales closed thanks to their recommendation.
  • Client: person who hires and pays for the Provider's service.
  • Connection: the digital record linking a Client to a Provider (and, where applicable, the referring Conecte) for a specific service.
  • Quote: the price and scope proposal the Provider sends to the Client; once accepted by the Client it constitutes the service agreement between them.
  • Commission: the percentage of the service price (excluding VAT) that the Provider agrees to pay Conectee for each sale attributed to the Platform.
  • Wallet: the virtual balance within the Platform where the earnings of the Conecte and of referrers are credited.
  • Post-Payment Commission Model: the operating model of the Platform described in Section 5, in which the Client pays the Provider directly and Conectee charges only its Commission to the Provider.

The same user may hold the Provider and Conecte roles simultaneously.

3. Nature of the Service — What Conectee IS and IS NOT

3.1. Conectee is a referral marketing technology platform. We enable Providers to publish their services, Conectes to recommend them with verifiable attribution, and Clients to hire them with digital tracking.

3.2. Conectee is NOT:

  • a party to the service agreement between the Client and the Provider;
  • an employer, placement agency, or contractor of Providers or Conectes;
  • a processor or custodian of the Client's payment to the Provider — that payment happens outside the Platform, directly between Client and Provider, by whatever means they agree;
  • a guarantor of the quality, safety, legality, or timeliness of the services offered or rendered.

3.3. The Provider is solely responsible for the quality, legality, and performance of the services it offers, for holding any applicable licenses or permits, and for issuing to the Client any required tax receipts or invoices.

4. Eligibility and Account

4.1. Age and capacity. To use the Platform you must be at least 18 years old and have legal capacity to contract. The Platform is not directed at minors.

4.2. Registration. Registration requires: email address, password, full name, and a phone number verified via SMS code. You agree to provide truthful, complete, and current information.

4.3. One account per person. Creating or maintaining multiple accounts is prohibited, as is creating accounts to evade sanctions, invitation limits, or suspensions.

4.4. Account security. You are responsible for keeping your credentials confidential and for all activity performed from your account. The Platform optionally offers two-factor authentication (TOTP) and per-device biometric unlock; we recommend enabling them. Notify us immediately at contacto@conectee.com of any unauthorized use.

4.5. Provider verification (KYC). Providers must complete an identity verification process that includes an official ID document (front and back) and a verification selfie. We may approve, reject, or revoke verification at our reasonable discretion and request additional documentation. Uploaded documents are retained in versioned form (prior versions are not overwritten). Once verification is approved, the account's identity data (first and last name, date of birth, and, where applicable, legal business name) is locked and may only be corrected through support, with the correction logged. The "Verified Provider" badge only indicates that this process was completed; it is not a guarantee or endorsement by Conectee.

4.6. Client portal. Clients may operate without an account through the web portal, authenticating with a one-time code (OTP) sent to their email. Use of the portal constitutes acceptance of these Terms to the extent applicable to them.

5. Post-Payment Commission Model

5.1. Direct payment. The Client pays the service price directly to the Provider, outside the Platform, by whatever means they agree (cash, transfer, card, etc.). Conectee does not intervene in, hold, or process that payment.

5.2. Service flow.

  1. The Provider publishes services in its catalog (minimum price: MXN $500) and sets the Commission for each one (between 25% and 100%).
  2. The Conecte shares the catalog or service via a link or QR code with attribution.
  3. The Client requests the service. For services that require a quote, the Provider sends a Quote and, once the Client accepts it, the service agreement between them is formed and the exchange of contact details is unlocked. For fixed-price services, by submitting the request the Client accepts the published price (forming the agreement) and the exchange of contact details is unlocked from that moment.
  4. After the service is rendered, the Provider reports on the Platform that it received the Client's payment.
  5. The Client confirms the payment (and may leave a review). If the Client does not respond within 3 days of the Provider's report, the payment is deemed automatically confirmed.
  6. Once the payment is confirmed, Conectee charges the Commission to the Provider using the payment method on file (Section 6.3).

5.3. Commission calculation. Based on the service price excluding VAT:

  • Gross commission = price excluding VAT × the service's Commission percentage.
  • Platform operating costs: 5% of the gross commission.
  • Net commission = gross commission − operating costs.
  • Of the net commission: 60% goes to the Conecte and 40% to the Platform.

Example — MXN $10,000 service (excl. VAT) with a 30% Commission: gross commission $3,000; operating costs $150; net commission $2,850; Conecte $1,710; Platform $1,140. The Client paid $10,000 directly to the Provider; Conectee charged $3,000 to the Provider.

5.4. Protection window. The Conecte's share is held for 7 days from the Commission charge, as protection against fraud, chargebacks, and disputes. Once the window ends, it is automatically released to their Wallet. If the Connection is in dispute, the release is paused until the dispute is resolved.

5.5. Commission types. As configured by the Provider per service: Recurring (commission on every payment from the same Client, indefinitely), Annual (commission for 1 year; afterwards the Client is considered the Provider's own portfolio), or One-time (only the first payment generates commission).

5.6. Non-payment declarations. If the Client fails to make the agreed payment, the Provider may declare this on the Platform. The Client may respond through the portal (confirming that they did make the payment, or stating that the service did not take place) within 3 days of the declaration; absent a Client response, the Provider's declaration stands and the Connection is closed without generating a Commission. Either party may also initiate a dispute under Section 12. Fraudulent use of reports or declarations is grounds for suspension.

6. Provider Obligations

6.1. Catalog and pricing. The Provider sets prices (minimum MXN $500 per service) and the Commission percentage (minimum 25%, up to 100%; some categories may have higher minimums). Published prices and Quotes must be truthful.

6.2. Performance. The Provider will render services with the quality and on the terms quoted, and will comply with all applicable law (including tax law: issuing CFDI or other tax receipts to the Client is the Provider's sole responsibility).

6.3. Payment method on file. The Provider must register and maintain a valid payment card through our payment processor (Stripe) as a requirement to publish services in its catalog and to send Quotes; without a card on file, Connections cannot be formed (the Provider cannot publish the service nor send the Quote that the Client would accept). By registering the card, the Provider expressly authorizes Conectee to make automatic ("off-session") charges to that card for Commissions accrued under these Terms, without further authorization for each charge. When the card is registered, a validation is performed by means of a temporary authorization of MXN $20 that is immediately cancelled; it is not a final charge or a payment.

6.4. Delinquency. If a Commission charge is declined, the Connection becomes delinquent and Conectee will retry the charge up to 3 times over the following days. While delinquency persists, Conectee may suspend the Provider's receipt of new leads/Connections. Persistent delinquency is grounds for account suspension or termination and for collection through other legal means.

6.5. Truthful payment reporting. The Provider agrees to report on the Platform all payments received from Clients attributed to the Platform, completely and promptly. Under-reporting amounts or omitting reports constitutes Commission evasion (Section 9).

7. Conecte Obligations and Earnings

7.1. Attribution. Recommendations are attributed through links, QR codes, or recommendation codes generated by the Platform. Only sales attributable per the Platform's records generate Commission.

7.2. Third-party data. When a Conecte captures a potential Client's data (name, phone, email, service address), the Conecte represents that they have that person's consent to share it with the Platform and the Provider. Registering people's data without their authorization is prohibited.

7.3. Wallet and withdrawals. Released earnings are credited to the Wallet. Withdrawals are made by SPEI transfer to the CLABE account registered by the Conecte, with a minimum withdrawal of MXN $500 and a fee of MXN $10 per withdrawal (the fee is in addition to the requested amount and is deducted from the Wallet balance together with the withdrawal). Before the first withdrawal, the Conecte must complete beneficiary information and accept the tax declaration applicable to payments from a foreign entity (W-8BEN equivalent). Payouts are processed through international payment providers (currently Wise).

7.4. Nature of earnings. The Conecte's earnings are independent income from referral activity. The Conecte is not an employee, agent, or representative of Conectee or of the Provider, and is responsible for their own tax obligations.

7.5. Negative balance from reversals. In the event of a chargeback, fraud, or reversal of an already-distributed Commission, Conectee may reverse the corresponding Wallet credit (clawback), which may temporarily leave the balance negative until offset by future earnings.

8. Clients, Portal, and Reviews

8.1. The Client accesses the portal via email OTP and may: review and accept or reject Quotes, track their Connections, confirm or object to reported payments, communicate with the Provider, and leave reviews.

8.2. Accepting a Quote creates a direct agreement between Client and Provider. Conectee is not a party to that agreement. Any warranty, scope change, invoice, or refund must be handled directly with the Provider.

8.3. Reviews. Reviews must be truthful and based on real experiences. We reserve the right to remove reviews that are false, offensive, unlawful, or in breach of these Terms. Reviews may be bidirectional (Providers may also rate).

9. Anti-Circumvention (Bypass) and Prohibited Conduct

9.1. Platform circumvention. Evading Commission payments is strictly prohibited, including without limitation: closing off-Platform deals that originated on the Platform to avoid the Commission; exchanging contact details before unlock for that purpose; under-reporting prices; or cancelling Connections while pretending the service did not occur.

9.2. Monitoring. The Platform uses technical signals to detect circumvention attempts (for example, contact-sharing patterns in chat, anomalous cancellation or "ghosting" rates, and logs of access to client contact data including IP, device, and user-agent). See our Privacy Policy.

9.3. Sanctions. Depending on severity, violations may result in: warnings, account flagging, holds on balances tied to operations under investigation, suspension, permanent removal, and/or recovery of evaded Commissions. Accounts removed for circumvention may be subject to reactivation conditions.

9.4. Other prohibited conduct. You further agree NOT to: (a) publish services that are illegal, deceptive, or require licenses you do not hold; (b) use the Platform for spam, fraud, money laundering, or illicit financing; (c) impersonate identities or use false documents in verification; (d) manipulate the referral program, reviews, or gamification; (e) reverse engineer, mass-scrape, or interfere with the Platform's security (including App Check and anti-bot controls); (f) upload malware or content that infringes third-party rights.

10. Referral Program

10.1. Each user has an invitation code. If a person registers with your code, you become their "referrer."

10.2. Benefit. For 365 days from the referred user's registration, the referrer receives the Platform's share (the 40% of the net Commission) generated by their referred user's transactions. If both the Conecte and the Provider in a transaction were referred, the benefit is split between their referrers under the Platform's then-current rules.

10.3. Limits. A maximum of 5 invitations per user, expandable to 10 upon reaching the Gold level of the levels program. There is only one referral level (this is not a multi-level scheme). To collect referral benefits, the referrer's account must be active.

10.4. Self-referrals, fake accounts, and any manipulation of the program are prohibited. Conectee may adjust or cancel benefits obtained in fraud of the program.

11. Scheduling, Bookings, and Cancellations

11.1. Availability. Scheduling and booking functionality may not be enabled in all versions of the Platform. This Section applies only where that functionality is available and the Provider has enabled it.

11.2. Bookings. When the Provider enables scheduling, time slots are reserved on a first-come basis; a slot being booked is temporarily held (approximately 15 minutes) while the request is completed.

11.3. Cancellations. Because payment for the service occurs directly between Client and Provider (Section 5), Conectee does not charge or withhold monetary cancellation penalties. Late Client cancellations (less than 24 hours in advance) and repeated Provider cancellations (3 or more within 30 days) are recorded on the Platform and may lead to account review and sanctions under Section 18.

12. Disputes Between Users

12.1. Direct resolution. In the event of a disagreement over a Connection (quality, payment, scope), the parties must first attempt to resolve it directly through the Platform within the direct-resolution period indicated in the dispute.

12.2. Free escalation. If no agreement is reached, either party may escalate the dispute at no cost. The Conectee team will resolve it based on the evidence submitted (messages, Quotes, receipts, photographs). The parties agree to provide truthful information.

12.3. Scope of resolution. Conectee's resolution determines effects within the Platform (for example, whether the Commission applies, Wallet adjustments, sanctions). It does not replace any rights the parties may have against each other outside the Platform. Users who file abusive or repeated disputes may be sanctioned.

13. Taxes

13.1. Arkline Digital LLC is a foreign entity (United States) operating the Platform remotely. Conectee does not act as a tax withholding agent and does not issue CFDI.

13.2. Each user is individually responsible for determining and meeting their tax obligations in their jurisdiction, including registering, reporting, and paying taxes on their income. The Provider is responsible for issuing tax receipts to the Client. For information purposes only, users in Mexico may consult their tax advisor regarding the treatment of payments to foreign entities (for example, Article 27 of the Mexican Income Tax Law regarding deductibility).

13.3. Conectee may issue commercial invoices to Providers for Commissions charged, as well as downloadable statements.

14. Intellectual Property and User Content

14.1. The Platform, its software, design, trademarks, logos, and content are the property of Arkline Digital LLC or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform under these Terms. Unauthorized reproduction, modification, or exploitation is prohibited.

14.2. Your content. You retain ownership of the content you upload (service and portfolio photographs, descriptions, reviews, messages, documents). By uploading it, you grant Conectee a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, adapt, and display it on the Platform (including the shareable public catalog) for the purpose of operating and promoting the Platform's services.

14.3. You represent that you hold the necessary rights to the content you upload and that it does not infringe third-party rights.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKLINE DIGITAL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR THE CONDUCT, QUALITY, OR RESULTS OF ANY PROVIDER, CONECTE, OR CLIENT.

16. Limitation of Liability

16.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKLINE DIGITAL LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM THE USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF.

16.2. ARKLINE DIGITAL LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL COMMISSIONS ACTUALLY COLLECTED BY CONECTEE ON YOUR TRANSACTIONS IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

16.3. Nothing in these Terms limits liabilities that cannot be limited under applicable law.

17. Indemnification

You agree to indemnify and hold harmless Arkline Digital LLC, its affiliates, officers, and employees from third-party claims (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) the services you offer or render as a Provider; (d) content or third-party personal data you provide; or (e) your violation of applicable laws, including tax laws.

18. Suspension, Termination, and Account Deletion

18.1. By Conectee. We may suspend or terminate your account, withhold features (including receipt of leads), or remove content, with or without prior notice, if we reasonably believe you breached these Terms or the law, or created risk for the Platform or its users. Where reasonable, we will notify you of the reason.

18.2. By you. You may delete your account at any time from the app (password confirmation required). Deletion is not available while there are active Connections, open disputes, or pending or held payments; before deletion, any available Wallet balance will be paid out to you.

18.3. Effects. After a deletion request, the account is deactivated with a 30-day recovery period (you can reactivate it by logging in). Once that period ends, your personal profile data is irreversibly anonymized as described in the Privacy Policy. Identity verification documents and transactional records (transactions, commissions, withdrawals, and account histories) are retained on a restricted basis for up to 5 years for legal obligations, fraud prevention, and defense of claims; once that period expires, the documents are permanently deleted, including from backup copies. Accrued obligations (Commissions owed, dispute effects, Sections 13 through 17 and 19) survive termination.

19. Governing Law and Dispute Resolution with Conectee

19.1. Governing law. These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules.

19.2. Prior resolution. Before initiating any proceeding, you agree to contact us at contacto@conectee.com describing the controversy and to negotiate in good faith for 30 days.

19.3. Binding arbitration. Any unresolved controversy arising out of these Terms or the Platform shall be resolved through final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration shall take place in the State of Wyoming, United States, or remotely (by videoconference or on documents) at the claimant's election. Judgment on the award may be entered in any court of competent jurisdiction.

19.4. CLASS ACTION WAIVER. YOU AND CONECTEE AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.

19.5. Exceptions. Either party may bring qualifying claims in small-claims court, or seek injunctive relief to protect intellectual property or the security of the Platform before the state or federal courts located in Wyoming.

19.6. If the class action waiver is found unenforceable, the entirety of Section 19.3 shall be void, and controversies shall be resolved before the state or federal courts located in the State of Wyoming, to whose personal jurisdiction the parties submit.

20. General Provisions

20.1. Modifications. We may modify these Terms. Material changes will be notified through the Platform or by email with reasonable advance notice. Continued use of the Platform after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform and may delete your account.

20.2. Assignment. You may not assign these Terms. Conectee may assign them in the context of a merger, acquisition, or asset sale, with notice to users.

20.3. Severability. If any provision is held invalid, the remaining provisions remain in full force.

20.4. No waiver. Failure to exercise a right does not constitute a waiver of it.

20.5. Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Arkline Digital LLC regarding the Platform.

20.6. Language. These Terms are drafted in Spanish, which is the prevailing and binding version. This English translation, available at https://conectee.com/legal/en/terms, is provided as a courtesy only.

20.7. Notices. Notices to Conectee must be sent to contacto@conectee.com. Notices to you may be made through the Platform, push notifications, or the registered email address.

20.8. Force majeure. We shall not be liable for failures caused by events beyond our reasonable control.
