Terms of Service

1. Acceptance of Terms
By accessing or using the mobile application, website, or any service of Conectee (collectively, the "Platform"), you agree to be legally bound by these Terms of Service (the "Terms"). If you do not agree with these Terms, do not use the Platform.
You represent that you are at least 18 years of age and that you have the legal capacity to enter into this agreement. If you use the Platform on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.
2. About Conectee
Conectee LLC is a limited liability company incorporated in the State of Wyoming, United States of America. Conectee operates a referral marketing technology platform that facilitates the connection between professionals who offer services and people who recommend them.
Conectee is NOT an employer, employment agency, or professional service provider. Conectee solely provides the technological infrastructure for users to interact with each other. Employment, contractual, or service relationships are established exclusively between users.
3. Three-Actor Model
The Platform operates with three distinct roles:
3.1. Provider (Prestador)
The Provider is the professional who publishes services on the Platform. The Provider is solely responsible for the quality, legality, and fulfillment of the services they offer. The Provider sets the price and commission percentage for each service.
3.2. Connector (Conecte)
The Connector is the person who recommends a Provider's services to potential clients. The Connector acts as a referral intermediary and has no responsibility over the delivery of the service. The Connector earns a commission for each successful sale generated through their recommendation.
3.3. Client
The Client is the person who contracts and pays for the Provider's service. The Client pays the exact price published by the Provider, with no additional charges from Conectee.
A single user may hold multiple roles simultaneously (for example, being both a Provider and a Connector).
4. Account Registration
To use the Platform, you must create an account by providing truthful and complete information.
4.1. Verification
Primary verification is performed via a one-time password (OTP) sent by SMS to the phone number provided. Email is used as secondary verification.
4.2. Identity Verification (KYC)
Users who wish to operate as Providers or Connectors must complete an identity verification (KYC) process that includes uploading an official identification document (front and back). No tax identification number (RFC) is required for registration.
4.3. Account Security
You are responsible for maintaining the confidentiality of your access credentials. You agree to immediately notify Conectee of any unauthorized use of your account.
5. Services and Pricing
5.1. Service Listings
Providers may list services with a minimum price of $500 MXN. Each service includes a description, price, category, and commission percentage.
5.2. Commission
The Provider sets a commission percentage between 20% and 100% of the service price. This commission is distributed as follows:
- 60% of the net commission goes to the Connector who generated the sale.
- 40% of the net commission goes to Conectee (platform).
Payment processing costs (approximately 5%) are deducted before calculating the net commission.
5.3. Service Types
Services may be fixed price, quote-based, or scheduled. Quote-based services follow a special flow described in Section 8.
6. Connections and Payments
6.1. Creating Connections
When a Connector refers a Client to a Provider, a "connection" is created that links all three parties.
6.2. Escrow (Fund Retention)
All payments are processed through an escrow model. The Client's payment is held for a period of 48 hours before being released. This hold protects all parties involved.
6.3. Fund Release
After the 48-hour hold period elapses without a dispute, funds are automatically released and credited to the participants' internal wallets according to the established commission distribution.
6.4. Payment Processors
Payments are processed through Stripe. Users agree to comply with the terms of service of the payment processors used by the Platform.
7. Wallet and Withdrawals
7.1. Internal Wallet
Each user has an internal wallet where earnings from services rendered, referral commissions, and bonuses are credited. The wallet uses a double-entry accounting system to ensure the integrity of all transactions.
7.2. SPEI Withdrawals
Users may request withdrawals to their bank account via SPEI transfer. The withdrawal conditions are:
- Minimum amount: $500 MXN per withdrawal.
- Fee: $10 MXN per withdrawal.
- Processing: Next business day.
- Requirement: Registered and verified CLABE interbank number.
7.3. Financial Security
The bank CLABE is stored encrypted with AES-256-GCM. Only the last 4 digits are visible in the user interface.
8. Quotation Flow
For services requiring a custom quote:
- The Connector may send a maximum of 3 recommendations per category for a single client.
- Quote requests expire in 7 days if not addressed by the Provider.
- The Provider must accept the request to unlock the client's contact information.
- The ghost rate (Providers who accept requests but do not contact the client) is monitored.
9. Bypass Protection
Conectee implements measures to protect the integrity of the referral system:
9.1. Contact Monitoring
When a Provider accesses a Client's contact information through the Platform, this action is recorded. Conectee monitors the relationship between contact data access and completed payments.
9.2. Bypass Ban
If it is confirmed that a user is evading the Platform's payment system (contacting clients outside the platform to avoid commissions), the account will be suspended. Suspension is applied after confirmation by the administration team.
9.3. Reactivation
A user suspended for bypass may request account reactivation upon payment of the evaded commissions. Additionally, the reactivated account may receive a search ranking penalty.
10. Dispute Resolution (Platform)
Conectee offers a dispute resolution system between users:
10.1. Self-Resolution
The parties involved have 72 hours to resolve the dispute directly between themselves through the Platform's chat.
10.2. Escalation with Deposit
If the dispute is not resolved within 72 hours, it is automatically escalated. Each party must make a security deposit equal to 10% of the service value within 48 hours. Failure to deposit results in automatic loss of the dispute for the non-compliant party.
10.3. Administrative Review
Once both parties have deposited, the Conectee administration team reviews the dispute and issues a resolution within 5 business days.
10.4. Deposit Distribution
The winning party recovers their deposit in full. The losing party's deposit is distributed: 50% to the winning party and 50% to the platform.
11. Scheduling and Cancellation
11.1. Availability
Providers can configure their weekly availability, block specific dates, and activate vacation mode. Schedules are managed through the Platform's appointment system.
11.2. Appointment Booking
Appointments are booked atomically (one user per time slot) with a 15-minute hold period during the payment process.
11.3. Cancellation Policy
Cancellations are subject to rules defined by the Platform, which consider the time before the appointment and the reason for cancellation. Provider cancellation rates are monitored.
12. Referral Program
12.1. Invitations
Users may invite new people to join the Platform. The invitation system is tiered: 5 initial invitations are granted, with 5 additional invitations available upon reaching higher levels on the platform.
12.2. Reward
When a referred user generates activity on the Platform, the referrer receives 40% of the platform's share in their referral's transactions, for a period of 1 year from the referral's registration date.
12.3. Limitations
The referral program is single-level only. It is not a multi-level marketing scheme. Rewards are generated only by the user's direct referrals, not by referrals of referrals.
13. Ratings and Reviews
13.1. Rating System
Clients may rate services received through a rating link sent by email (magic link). Ratings are from 1 to 5 stars with optional text.
13.2. Responses
Providers may respond once to each rating received.
13.3. Editing
Clients may edit their rating at any time.
14. Communications
14.1. Instructions
Service instructions are unidirectional: only the Provider can send instructions to the Client. There is no general chat between users.
14.2. Dispute Chat
Chat between parties is only available during an active dispute process.
14.3. Notifications
Conectee may send notifications via email, push notifications, and WhatsApp. Users can configure their notification preferences, except for critical system notifications which are mandatory.
15. Verification Badge
Providers can earn a verification badge by meeting the following requirements:
- Approved identity verification (KYC).
- Minimum of 5 completed connections.
- Average rating of 4.0 or higher.
- Completion rate of 80% or higher.
16. Fiscal Model
Conectee LLC is a foreign entity incorporated in Wyoming, United States. As a foreign technology platform:
- Conectee does NOT issue CFDI (Mexican digital tax receipts).
- Conectee does NOT act as a tax withholding agent in Mexico.
- Users are individually responsible for complying with their tax obligations in their corresponding jurisdiction.
- Conectee provides monthly statements that users may use as supporting documentation for tax purposes.
- Mexican users are advised to consult Article 27 of the Income Tax Law (LISR) for information regarding the deductibility of payments to foreign entities.
17. Account Deletion
17.1. Request
Users may request account deletion from the application settings.
17.2. Grace Period
Deletion is executed with a 30-day grace period (soft delete). During this period, the user may reactivate their account simply by logging in.
17.3. Final Payout
Upon requesting deletion, if there is a balance in the wallet, a final payout will be processed to the registered bank account, without applying the usual minimum withdrawal threshold.
17.4. Anonymization
After 30 days without reactivation, the user's personally identifiable information (PII) is permanently and irreversibly anonymized. Transaction records are retained in anonymized form for legal and accounting compliance.
18. Intellectual Property
18.1. Platform Content
All content, design, software, trademarks, and other materials on the Platform are the exclusive property of Conectee LLC or its licensors. Reproduction, distribution, or unauthorized use is prohibited.
18.2. User Content
By posting content on the Platform (service descriptions, images, reviews), you grant Conectee a non-exclusive, worldwide, royalty-free, and sublicensable license to use, reproduce, modify, and display such content in connection with the operation of the Platform.
19. Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." CONECTEE LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
To the maximum extent permitted by applicable law:
- Conectee is not responsible for the quality, safety, or legality of services offered by Providers.
- Conectee is not responsible for the actions or omissions of any user.
- Conectee does not guarantee results obtained through the Platform.
- Conectee's total liability to any user shall not exceed the amount of commissions retained by the Platform in the preceding 12 months for such user.
20. Legal Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved as follows:
20.1. Direct Resolution
First, the parties shall attempt to resolve the dispute in good faith by contacting Conectee's support team at contacto@conectee.com. A period of 30 days is provided to reach a resolution.
20.2. Binding Arbitration
If the dispute is not resolved directly, it shall be submitted to individual binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in the State of Wyoming, United States, or remotely at the claimant's election.
20.3. Class Action Waiver
YOU AGREE THAT YOU MAY ONLY BRING CLAIMS AGAINST CONECTEE IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
20.4. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without giving effect to any principles of conflict of laws.
21. Modifications
Conectee reserves the right to modify these Terms at any time. Significant changes will be notified to users through the Platform or by email with at least 15 days' notice. Continued use of the Platform after the modifications take effect constitutes acceptance of the new Terms.
